Our total aggregate liability for any claim arising out of these Terms shall not exceed the total amount of fees paid by you to Aspire in the twelve (12) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Aspire Finance Group and its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable laws or third‑party rights; or (d) any content you submit.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively through confidential arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The seat of arbitration shall be Singapore, and the language shall be English. Notwithstanding the foregoing, Aspire may seek equitable relief in any court of competent jurisdiction.

16. Amendments

We reserve the right to modify these Terms at any time by posting the revised version on the Platform. The revised Terms will become effective immediately upon posting, unless otherwise specified. Your continued use of the Platform after the effective date constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify you of material changes via email or prominent notice on the Platform.

17. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy and any additional agreements, constitute the entire agreement between you and Aspire regarding the Platform.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Any failure by Aspire to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
